This Supplemental Executive Retirement Agreement (this "Agreement") is amended and restated effective as of December 12, 2008 (the "Effective Date"), by and between William P. Crawford, Jr., an individual (the "Executive"), and Carolina First Bank, a South Carolina corporation headquartered in Greenville, South Carolina (the "Company") and wholly owned subsidiary of The South Financial Group, Inc. ("TSFG").

This Amended and Restated Noncompetition, Severance and Employment Agreement (this “Agreement”) is made and entered into as of this February 25, 2008, by and between Christopher T. Holmes, an individual (the “Executive”), and Carolina First Bank, a South Carolina corporation headquartered in Greenville, South Carolina (the “Company”) and wholly owned subsidiary of The South Financial Group, Inc. (“TSFG”).
