This Contract is made this 1st day of June 2008, between Federated Investment Management Company, a Delaware business trust having its principal place of business in Pittsburgh, Pennsylvania (the "Adviser"), and Federated Core Trust, a Massachusetts business trust having its principal place of business in Pittsburgh, Pennsylvania (the “Trust”).

This is to confirm that, in consideration of the agreements hereinafter contained, the undersigned Federated Enhanced Duration Active Cash Core Fund, a portfolio of Federated Core Trust (the “Trust”), an open-end diversified management investment company registered under the Investment Company Act of 1940, as amended (the “1940 Act”), organized as a business trust under the laws of the Commonwealth of Massachusetts, has agreed that Federated Securities Corp., a Pennsylvania corporation (“FSC”), shall be the exclusive placement agent (the “Exclusive Placement Agent”) of beneficial interests (“Trust Interests”) of Federated Enhanced Duration Active Cash Core Fund.

This Amendment (the “Amendment”), made as of the 1st day of January 2008 amends that certain Transfer Agency and service Agreement, date as of July 1, 2004 (the “Agreement”) by and between each of the entities listed on the signature pages to the Agreement (the “Funds”) and State Street Bank and Trust Company (the “Transfer Agent”). Capitalized terms used, but not otherwise defined herein, shall have the meanings ascribed thereto in the Agreement.
