This REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made as of January 16, 2018, by and among LIGHTPATH TECHNOLOGIES, INC., a Delaware corporation (the “Company”), and JOSEPH MENAKER, an individual, and MARK LIFSHOTZ, an individual (each a “Holder” and collectively, the “Holders”).
