This agreement (the “Agreement”), dated as of April 15, 2016 and amended and restated as of June 18, 2019, by and between WP Trust (the “Trust”), a Delaware statutory business trust, on behalf of its series identified on Schedule B attached hereto, and operating as an open-end, investment management company registered under the Investment Company Act of 1940, as amended (the “Act”), duly organized and existing under the laws of the State of Delaware, and M3Sixty Administration, LLC (“M3Sixty”), a limited liability company duly organized under the laws of the State of Delaware (each generally may be referred to herein as a “Party” and collectively, the “Parties”).
