This Agreement is made as of April 30, 2018, by and among Flaherty & Crumrine Total Return Fund Incorporated, a closed-end investment company registered under the Investment Company Act of 1940, as amended (the “1940 Act”) and organized as a Maryland Corporation (“Fund”), and Destra Capital Advisors LLC, a Delaware limited liability company (“Destra”).

BNP Paribas Securities Corp. (as successor-in-interest to BNP Paribas Prime Brokerage, Inc.) ("BNPP SC") and each of the counterparties specified on Exhibit 1 hereto ("Customer''), hereby enter into this Amended and Restated Committed Facility Agreement (this "Agreement"), dated as of the date specified on the signature page. This Agreement amends and restates the Committed Facility Agreement dated June 26, 2009 (including amendments thereto), between the parties.
