THIS EXCHANGE AGREEMENT (the “Agreement”) made this 31st day of March, 2015 by and among, RemSleep Holdings, Inc., a Nevada corporation, with offices located at 4920 El Camino Real, Suite 100, Los Altos, CA 94022 (“RemSleep Holdings”) and RemSleep, LLC, a California corporation, with offices located at 5872 Owens Ave. Suite 200. Carlsbad, CA, 92008, (“REMSLEEP, LLC” or “the Company”) on behalf of its shareholders, both parties hereinafter referred to as the “Parties.”
