THIS SECOND AMENDED AND RESTATED OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is dated as of September 18, 2015, by and between INVESTMENT MANAGERS SERIES TRUST, a Delaware statutory trust (the “Trust”), on behalf of its series listed in Appendix A, as amended from time to time (each a “Fund”), and the investment advisor of the Funds, SilverPepper, LLC (the “Advisor”).

THIS AMENDED AND RESTATED SUB-ADVISORY AGREEMENT (the “Agreement”), dated as of September 22, 2016, is entered into by and between SILVERPEPPER LLC, a Delaware limited liability company with its principal office and place of business at 570 Oakwood Avenue, Lake Forest, Illinois 60045 (the “Advisor”) and CHICAGO CAPITAL MANAGEMENT, LLC, an Illinois limited liability company with its principal office and place of business at 311 South Wacker Drive, Suite 6025, Chicago, Illinois 60606 (the “Sub-advisor”).
