THIS AMENDMENT NO. 1 TO AGENCY AGREEMENT (this "Amendment") is entered into as of the 30th day of April, 2018 (the "Amendment Effective Date") by and between THE ADVISORS' INNER CIRCLE FUND II, a business trust existing under the laws of the Commonwealth of Massachusetts, having its principal place of business at One Freedom Valley Drive, Oaks, Pennsylvania 19456 (the "Trust") and DST SYSTEMS, INC., a corporation existing under the laws of the State of Delaware, having its principal place of business at 333 West 11th Street, 5th Floor, Kansas City, Missouri 64105 ("DST"). Unless otherwise defined in this Amendment, capitalized terms shall have the meanings ascribed to them in the Agreement (defined below).
