THIS AMENDED AND RESTATED INVESTMENT ADVISORY AGREEMENT (the “Agreement”) is made as of this 10th day of December, 2020, by and between The Advisors’ Inner Circle Fund III (the “Trust”), a Delaware statutory trust registered as an investment company under the Investment Company Act of 1940, as amended (the “1940 Act”), and Rayliant Investment Research, doing business as “Rayliant Asset Management” (the “Adviser”), a C Corporation organized under the laws of the State of California, with the Adviser’s principal place of business at 11 Zephyr, Irvine, California 92602, and amends the prior Investment Advisory Agreement by and between the Trust and the Adviser, dated July 10, 2020 (the “Original Effective Date”).
