This letter confirms the agreement of Emerald Mutual Fund Advisers Trust (the “Adviser”) with the Trust to contractually limit the total amount of the “Management Fees” and “Other Expenses” that it is entitled to receive from the Emerald Finance and Banking Innovation Fund, the Emerald Growth Fund and the Emerald Insights Fund (each a “Fund,” and collectively, the “Funds”).

THIS AGREEMENT is made as of the 5th day of July, 2024, by and between STATE STREET BANK AND TRUST COMPANY, Massachusetts trust company having its principal office and place of business at One Lincoln Street, Boston, Massachusetts 02111 (“State Street” or the “Transfer Agent”), and FINANCIAL INVESTORS TRUST, a Delaware statutory business trust having its principal office and place of business at 1290 Broadway, Suite 1000, Denver CO 80203 (the “Trust”), solely on behalf of each Portfolio, severally and not jointly.
