This SIXTH AMENDED AND RESTATED LIMITED PARTNERSHIP AGREEMENT (this “Agreement”) of Oaktree Capital I, L.P., a Delaware limited partnership (the “Partnership”), is dated as of July 1, 2024 (such time, the “Effective Date”), by and among Brookfield OCM Holdings II, LLC (f/k/a OCM Holdings I, LLC, a Delaware limited liability company, as the sole general partner of the Partnership prior to the Effective Date and as a limited partner of the Partnership from and after the Effective Date (“Brookfield OCM Holdings”), Oaktree Capital I GP, LLC, a Delaware limited liability company, as the sole general partner of the Partnership from and after the Effective Date, the other limited partners of the Partnership (in their capacity as such, the “Limited Partners”) and Brookfield Oaktree Holdings, LLC (f/k/a Oaktree Capital Group, LLC), a Delaware limited liability company (“BOH”), for the sole purpose of approving and consenting to the replacement of the General Partner in accordance with Section 8
