This PUBLIC COMPANY EQUITY UNIT AWARD AGREEMENT (this “Agreement”) of KKR & CO. INC. (the “Corporation”) is made by and between the Corporation and the undersigned (the “Grantee”), who is a member of the board of directors of the Corporation (the “Board”). Capitalized terms used herein and not otherwise defined herein or in the Amended and Restated KKR & Co. Inc. 2010 Equity Incentive Plan, as amended from time to time (the “Plan”), shall be as defined in Appendix A attached hereto.
