THIS AMENDED AND RESTATED SUBADVISORY AGREEMENT (this "Agreement") is made as of the 16th day of January, 2015, by and between CVR Portfolio Funds LLC, a Delaware limited liability company with its principal office and place of business at One Bromfield Street, Suite 5100, Boston, MA 02108 (the "Adviser") and SSARIS Advisors, LLC, a Delaware limited liability company with its principal office and place of business at 187 Danbury Road, Suite 2C, Courtside Building, Wilton, CT 06897 (the "Subadviser").
