AGREEMENT dated as of the 1st day of April, 2015, by and between CornerCap Group of Funds, a business trust organized under the laws of the Commonwealth of Massachusetts, with its principal office and place of business at The Peachtree, Suite 1700, 1355 Peachtree Street NE, Atlanta, Georgia 30309 (the "Trust"), Atlantic Fund Administration, LLC (d/b/a Atlantic Fund Services), a Delaware limited liability company, with its principal office and place of business at Three Canal Plaza, Portland, Maine 04101 (together with its successors in interest, "Atlantic FA"), and Atlantic Shareholder Services, LLC, a Delaware limited liability company, with its principal office and place of business at Three Canal Plaza, Portland, Maine 04101 (together with its successors in interest, "Atlantic TA").

As the distributor of the shares ("Shares") of each investment company portfolio ("Fund"), of the investment company or companies referenced above and set forth on Appendix A (collectively, "Company") which may be amended by us from time to time, Foreside Fund Services, LLC ("Distributor") hereby invites you to participate in the selling group on the following terms and conditions. In this letter, the terms "we," "us," and similar words refer to the Distributor, and the terms "you," "your," and similar words refer to the dealer executing this agreement, including its associated persons.
