AGREEMENT made as of December 10, 2015, by and between Forum Funds II, a Delaware statutory trust, with its principal office and place of business at Three Canal Plaza, Suite 600, Portland, Maine 04101 (the "Trust"), and Dundas Partners LLP, a limited liability partnership with its principal office and place of business at 41 Northumberland Street, Edinburgh, Scotland EH3 6JA (the "Adviser").

This Ninth Amendment (the "Amendment") to the Forum Funds II Distribution Agreement (the "Agreement") dated as of June 27, 2013, as amended from time to time, by and between Forum Funds II, a Delaware statutory trust (the "Trust") and Foreside Fund Services, LLC, a Delaware limited liability company (the "Distributor") is entered into as of March 1, 2016 (the "Effective Date").
