THIS AMENDED AND RESTATED SEVERANCE AGREEMENT (this “Agreement”) is entered into as of October 25, 2011, by and between JASON STERN (the “Employee”) and SELECTICA, INC., a Delaware corporation (the “Company”), and amends and restates that certain Severance Agreement previously entered into by and between Employee and the Company as of June 10, 2009.

This letter agreement amends and restates your previous letter agreement dated August 18, 2009, as the same had been adjusted (the “Prior Letter Agreement”) pursuant to action of the Company’s Board of Directors (the “Board”).
