THIS WARRANT AND THE SHARES ISSUABLE UPON EXERCISE OF THIS WARRANT MAY NOT BE SOLD, OFFERED FOR SALE, TRANSFERRED OR ASSIGNED IN THE ABSENCE OF AN EFFECTIVE REGISTRATION STATEMENT AS TO THIS WARRANT OR SUCH SHARES, AS THE CASE MAY BE, UNDER SAID ACT AND ANY APPLICABLE STATE SECURITIES LAWS OR AN OPINION OF COUNSEL REASONABLY SATISFACTORY TO THE ISSUER THAT SUCH REGISTRATION IS NOT REQUIRED. This First Amendment to Loan and Security Agreement is entered into as of March __, 2019 (the “Amendment”), by and between CATASYS, INC. (“Parent”), ANXIOLITIX, INC. (“Anxiolitix”), CATASYS HEALTH, INC. (“Catasys Health”), and HERITAGE BANK OF COMMERCE (“Bank”). Parent, Anxiolitix and Catasys Health are also individually referred to herein as “Borrower” and collectively referred to as the “Borrowers”.
