This Amended and Restated Investment Advisory and Administrative Services Agreement (the “Agreement”) is made as of January 22, 2015, by and between YORKE CAPITAL CORPORATION, a Maryland corporation (the “Company”), and YORKE CAPTIAL MANAGEMENT, LLC, a Delaware limited liability company (the “Adviser”), and supersedes and replaces that certain Investment Advisory and Administration Services Agreement dated as of September 24, 2015.
