THIS EXCHANGE AGREEMENT (the “Agreement”) is dated as of September 28, 2015 and effective as of August 1, 2015 by and between Minerco Resources, Inc., a Nevada corporation, with its principal place of business at 800 Bering Drive, Suite #201, Houston, Texas 77057 (the “Company”), and MSF International, Inc., with an address of 15 2nd Avenue, Buttonwood Bay, Belize City, Belize, Central America (the “Shareholder”).
