THIS EXCHANGE AGREEMENT (the "Agreement"), is made and entered into as of May 8, 2013, by and among Cleantech Transit, Inc., a Nevada corporation ("CTI"), Crown Equity Holdings, Inc., a Nevada corporation ("Crown Equity"), and Discovery Carbon Environmental Securities Corporation, a Nevada corporation ("DCE"), and the stockholders of DCE set forth on the signature pages to this Agreement (collectively, the "Sellers" and individually, a "Seller"), with respect to the following facts:
