THIS EXCHANGE AGREEMENT (the “Agreement”) is dated as of this 21st day of May 2019, by and among Integrated Ventures, Inc., a Nevada corporation (the “Company”), all of the subsidiaries of the Company that are party to the Agreement (collectively, “Subsidiaries”), and DigiMine LLC, a Delaware limited liability company.
