This STOCK PURCHASE AGREEMENT, dated as of July 15, 2022, is made by and between Michael Rosen (the “Seller”), and Ricks Investments, LLC (the “Buyer”). Buyer and the Seller are sometimes hereinafter collectively referred to as the “Parties.”

THIS CONSULTING AGREEMENT (the “Agreement”), is made and entered into on July 15, 2022 and effective as of August 31, 2022 (the “Effective Date”), by and among CODY DEVELOPMENT HOLDINGS, INC. (formerly, Deseo Swimwear, Inc.), a corporation organized under the laws of the State of Nevada (the “Company”); CODY DEVELOPMENT CORP., a corporation organized under the law of the State of Louisiana (“Cody”) RICKS INVESTMENTS, LLC, a limited liability company organized under the laws of the State of Delaware (the “Majority Stockholder”) and JON DARMSTADTER, an individual (the “Consultant”).

This CONTRIBUTION AGREEMENT (this “Agreement”) is made and entered into as of July 15, 2022, by and among Deseo Swimwear, Inc., a Nevada corporation (“Deseo”), Cody Development Corp., a Louisiana corporation (“Cody” or the “Company”), and Steven Ricks (the “Stockholder”). Deseo, the Company and the Stockholder are sometimes referred to herein individually as a “Party” and collectively as the “Parties.”
