International Assets Advisory, LLC, a Florida limited liability company (the “Company” or “Dealer Manager”), has entered into a separate agreement dated October 11, 2013 with Preferred Apartment Communities, Inc., a Maryland corporation (the “REIT”), to serve as its exclusive Dealer Manager. The REIT is engaged in a public offering of units (“Public Offering”) of its Series A Redeemable Preferred Stock and Warrants to purchase common stock in the REIT (the “Units”) through participating broker dealers (the “Soliciting Dealers”), on a best-efforts basis pursuant to the soliciting dealer agreement between the Company and the Soliciting Dealers (the “Soliciting Dealer Agreement”), and Registered Investment Advisors (the “RIAs”) pursuant to the Selected Investment Advisors Agreement (the “SIA Agreement”).
