This STOCK PLEDGE AND SECURITY AGREEMENT, dated as of September 30, 2015 (as amended, supplemented or otherwise modified from time to time in accordance with the provisions hereof, this “Agreement”), made by and among Katherine J. Poppe and Micah L. Camden (collectively, the “Pledgors”), in favor of LBB Acquisition, LLC, a limited liability company organized under the laws of the state of North Carolina (the “Secured Party”).

THIS SECURITIES ACCOUNT CONTROL AGREEMENT (this “Agreement”) is entered into as of September 30, 2015 by and among __________ (“Customer”), T.R. Winston & Company, LLC, a Delaware limited liability company (“Intermediary”), and LBB Acquisition, LLC, a limited liability company organized under the laws of the state of North Carolina (the “Secured Party”).

This Agreement shall be binding on the undersigned and the successors, heirs, personal representatives and assigns of the undersigned.
