Paradigm Capital Inc. as lead agent and sole bookrunner (“Paradigm”), together with Tamesis Partners LLP, Cormark Securities Inc., Echelon Wealth Partners Inc., Eight Capital, INFOR Financial Inc. and CIBC World Markets Inc. (collectively with Paradigm, the “Agents”), understand that Premium Nickel Resources Ltd. (the “Company”) proposes to issue and sell up to 15,430,000 common shares of the Company (the “Offered Securities”) at the Issue Price (as defined herein) for aggregate gross proceeds of up to $27,002,500 (excluding any exercise of the Option as described below).
