This AMENDED AND RESTATED EMPLOYMENT AGREEMENT (the “Agreement”), is entered into as of June 5, 2024, by and between Antelope Enterprise Holdings Ltd., incorporated under the laws of the British Virgin Islands (the “Company”), and Man Edmund Hen (the “Employee”). Except with respect to the direct employment of the Employee by the Company, the term “Company” as used herein with respect to all obligations of the Employee hereunder shall be deemed to include the Company and all of its subsidiaries and affiliated entities (collectively, the “Group”).
