In satisfaction of all outstanding amounts owed to Mendota Financial Company, LLC (d.b.a. Revelations Advisory) (the “Subscriber”) pursuant to that certain Consulting Agreement by and between Subscriber and The Beneficient Company Group (USA), L.L.C. effective as of September 9, 2021, as amended from time to time thereafter (the “Consulting Agreement”), Beneficient, a Nevada corporation (the “Company”) desires to issue to Subscriber and Subscriber desires to accept 201,482 shares (the “Shares”) of the Class A common stock, $0.001 par value per share (“Common Stock”) of the Company (based on outstanding amounts owed to Subscriber as of the date of this Agreement of $286,003.10 and a share price of $1.4195).
