In satisfaction of all outstanding amounts owed to Mendota Financial Company, LLC (d.b.a. Revelations Advisory) (the “Subscriber”) pursuant to that certain Consulting Agreement by and between Subscriber and The Beneficient Company Group (USA), L.L.C. effective as of September 9, 2021, as amended from time to time thereafter (the “Consulting Agreement”), Beneficient, a Nevada corporation (the “Company”) desires to issue to Subscriber and Subscriber desires to accept 201,482 shares (the “Shares”) of the Class A common stock, $0.001 par value per share (“Common Stock”) of the Company (based on outstanding amounts owed to Subscriber as of the date of this Agreement of $286,003.10 and a share price of $1.4195). The terms on which the Company is willing to issue the Shares to the Subscriber, and the Company and the Subscriber’s agreements (this “Agreement”) regarding such Shares, are as follows:

This Subscription Agreement for Common Stock (“Agreement”) is entered into this 25th day of February 2009 between GOLD RESOURCE CORPORATION (“Company”), a corporation incorporated under the laws of the State of Colorado, and HOCHSCHILD MINING HOLDINGS LIMITED (“Hochschild”), a private limited company organized under the laws of England and Wales. The Company and Hochschild may hereinafter be referred to as the “Parties” or individually as a “Party”.
