This Asset Purchase Agreement (the “Agreement”) is entered into as of November 30, 2012 (the “Effective Date”) by and between bNet Communications, Inc., a Nevada corporation (“Seller”), and BnetEFactor, Inc., a Nevada corporation (“Purchaser”). The Seller and the Purchaser shall each be referred to individually as a “Party” and collectively as the “Parties.”

This Exchange Agreement (the “Agreement”) is made and entered into effective this 30, day of November, 2012 by and among Home Training Initiative Ltd, an entity organized under the laws of the United Kingdom (“HT”), Five5Five PTE Ltd., an entity organized under the laws of Singapore, and the sole shareholder of HT (the “HT Shareholder”) on the one hand; and BnetEFactor, Inc., a Nevada corporation (“BnetEFactor”), on the other hand.
