SC Distributors, LLC, a Delaware limited liability company (the “Dealer Manager”), has entered into an agreement dated as of December 28, 2012 (the “Dealer Manager Agreement”), with RREEF Property Trust, Inc., a Maryland corporation (the “Company”), and RREEF Property Operating Partnership, LP, a Delaware limited partnership (the “Operating Partnership”) that serves as the Company’s operating partnership subsidiary and of which the Company is the sole general partner. Under the Dealer Manager Agreement, the Dealer Manager serves as the Company’s exclusive Dealer Manager in connection with a public offering (the “Offering”) of the Company’s common stock consisting of: (a) up to $2,250,000,000 in any combination of Class A Shares and Class B Shares being offered to the public pursuant to the Company’s primary offering (the “Primary Shares”); and (b) up to $250,000,000 in any combination of Class A Shares and Class B Shares being offered to stockholders of the Company pursuant to the Comp
