CREDIT AGREEMENT (this “Agreement”), dated as of January 27, 2017, among ITG INC., a Delaware corporation (the “Borrower”), INVESTMENT TECHNOLOGY GROUP, INC., a Delaware corporation (the “Guarantor”), the several banks and other financial institutions or entities from time to time parties to this Agreement (including, for the avoidance of doubt, any Incremental Lender, the “Lenders”), BANK OF AMERICA, N.A. and BANK OF MONTREAL, as syndication agents (in such capacities, the “Syndication Agents”) and JPMORGAN CHASE BANK, N.A., as administrative agent.
