This FIRST AMENDMENT TO STOCK PURCHASE AGREEMENT, dated as of September 9, 2019 (this “Amendment”), is entered into by and among ARTESYN EMBEDDED TECHNOLOGIES, INC., a Florida corporation (the “Company”), PONTUS INTERMEDIATE HOLDINGS II, LLC, a Delaware limited liability company (“Seller”), PONTUS HOLDINGS, LLC, a Delaware limited liability company (“Parent”), and ADVANCED ENERGY INDUSTRIES, INC., a Delaware corporation (“Purchaser”), with reference to that certain Stock Purchase Agreement dated as of May 14, 2019 (the “Purchase Agreement”) by and among the Company, Seller, Parent and Purchaser.
