AGREEMENT, made as of May 3, 2012, as amended July 29, 2014 between NORTHERN LIGHTS FUND TRUST II, a Delaware statutory trust (the "Trust"), and LONGBOARD ASSET MANAGEMENT, LLC, a Delaware limited liability company organized and existing under the laws of the State of Delaware (the "Adviser"), located at 2355 E. Camelback Road, Suite 750, Phoenix, AZ 85016.

THIS CUSTODY AGREEMENT (“Agreement”), dated as of April 25, 2013, is entered into by and between THE HUNTINGTON NATIONAL BANK, a national bank organized under the laws of the United States (the “Custodian” or “Bank”), and NORTHERN LIGHTS FUND TRUST II, a statutory trust formed under the laws of the State of DELAWARE (“Trust”).
