AGREEMENT, made as of April 3, 2014, between Northern Lights Variable Trust, a Delaware statutory trust (the "Trust"), and each Probabilities Fund Management, LLC, a California limited liability company (a "Co-Adviser" or “Probabilities”) located at 1665 Union Street, Suite A, San Diego, CA 92101; and Princeton Fund Advisors, LLC, a Delaware limited liability company (a “Co-Adviser” or “Princeton”) located at 1125 17th Street, Suite 1400, Denver, CO 80202.

THIS OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the “Agreement”) is effective as of the 12th day of November, 2013, by and between NORTHERN LIGHTS VARIABLE TRUST, a Delaware statutory trust (the “Trust”), on behalf of Probabilities VIT Fund (the “Fund”) a series of the Trust, and the co-advisors of the Fund, Probabilities Fund Management, LLC and Princeton Fund Advisors, LLC (the “Co-Advisors”).
