This AGREEMENT is made as of April 10, 2015 between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), and Counterpoint Mutual Funds, LLC, a California limited liability company (the “Adviser”) located at 12707 High Bluff Drive, Suite 200, San Diego, CA 92130 .

THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of the 3rd day of February, 2015, by and between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), on behalf of the Counterpoint Tactical Income Fund (the “Fund”) a series of the Trust, and the Advisor of the Fund, Counterpoint Mutual Funds, LLC, (the “Advisor”).
