THIS UNDERWRITING AGREEMENT effective the 30th day of April, 2015, by and between FORETHOUGHT VARIABLE INSURANCE TRUST, a Delaware statutory trust having its principal office and place of business at 300 North Meridian Street, Suite 1800, Indianapolis, Indiana 46204 (the “Trust”), and NORTHERN LIGHTS DISTRIBUTORS, LLC, a Nebraska limited liability company having its principal office and place of business at 17605 Wright Street, Omaha, Nebraska 68130 (“NLD”).

THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of the 10th day of September, 2013, as amended February 11, 2014, March 12, 2014, February 6, 2015, April 8, 2015, April 27, 2015, April 28, 2016 and July 28, 2016 by and between FORETHOUGHT VARIABLE INSURANCE TRUST, a Delaware statutory trust (the “Trust”), on behalf of each fund listed in Appendix A, (each a “Fund” and collectively the “Funds”) each a series of the Trust, and the Advisor of such Funds, Global Atlantic Investment Advisors, LLC (known as Forethought Investment Advisors, LLC prior to March 30, 2016) (the “Advisor”).
