This AGREEMENT is dated March 23, 2016 and effective on or about 31 May, 2016 among DUNHAM & ASSOCIATES INVESTMENT COUNSEL, INC., a California corporation (the “Adviser”), DUNHAM FUNDS, a Delaware statutory trust (the “Trust”) and ROGGE GLOBAL PARTNERS LIMITED, a United Kingdom private limited company (formerly Rogge Global Partners plc) (the “Sub-Adviser”) (each a “Party,” and together, the “Parties”).

THIS SIXTH AMENDMENT effective as of August 30, 2016, to the Custody Agreement dated as of March 30, 2010, as amended November 28, 2011, June 30, 2011, August 31, 2012, January 24, 2013 and August 30, 2013 (the “Agreement”), is entered into by and between DUNHAM FUNDS, a Delaware business trust (the “Trust”), and U.S. BANK, N.A. a national banking association (the "Custodian").
