THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of the 6th day of March, 2006, as revised on June 7, 2011, and as revised February 6, 2014, September 29, 2015, and May 1, 2016 by and between NORTHERN LIGHTS VARIABLE TRUST, a Delaware business trust (the “Trust”), on behalf of the Adaptive Allocation Portfolio (the “Fund”), a series of the Trust and the Advisor of such Fund, Critical Math Advisors, LLC (the “Advisor”).

THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of as of April 12, 2012, as revised March 26, 2014, September 30, 2014, and March 2, 2016 by and between NORTHERN LIGHTS VARIABLE TRUST, a Delaware statutory trust (the “Trust”), on behalf of each of its series on Appendix A (each a “Fund” and collectively the “Funds”), and the Advisor of such Funds, JNF Advisors, Inc. (the “Advisor”).
