This agreement (“Agreement”), is made by and between Equity Armor Investments, LLC (“Licensee”), whose principal offices are located 311 S. Wacker Dr., Suite 650, Chicago, Illinois 60606 and who is a Licensee of Nasdaq, Inc. (“Nasdaq”), a Delaware Corporation whose principal offices are located at One Liberty Plaza, 165 Broadway, New York, NY 10006 and EAVOL NASDAQ-100 Volatility Overlay Fund, a series of Mutual Fund Series Trust (“Sub-Licensee”), whose principal offices are located at 4221 North 203rd Street, Suite 100 Elkhorn, Nebraska 68022-3474.
