restated, supplemented or otherwise modified from time to time, this "Agreement") is made and entered into effective as of the 21st day of September, 2021 by and between UNIFIED SERIES TRUST, an Ohio business trust with its address at 225 Pictoria Drive, Suite 450, Cincinnati, Ohio 45246 (the “Borrower”), for and on behalf of the Fund (defined below), and U.S. BANK NATIONAL ASSOCIATION, a national banking association with its address at 425 Walnut Street, Cincinnati, Ohio 45202 (the "Bank"), and amends and restates in its entirety that Loan Agreement between the Borrower and the Bank dated as of September 23, 2019 as previously amended from time to time (the “Original Loan Agreement”).

This Investment Agreement (the "Agreement"), dated as of June 4, 2021 is between Unified Series Trust, a business trust organized under the laws of the State of Ohio (the "Acquiring Trust"), on behalf of each of its series listed on Schedule A (each, an "Acquiring Fund," and collectively, the "Acquiring Funds"), severally and not jointly, Pekin Hardy Strauss, Inc., a Delaware corporation, and Simplify Exchange Traded Funds, a statutory trust organized under the laws of the State of Delaware (the "Acquired Trust"), on behalf of each of its series listed on Schedule B and such additional series as shall be designated in the future (each, an "Acquired Fund," and collectively, the "Acquired Funds"), severally and not jointly, and Simplify Asset Management Inc., a Delaware corporation.

This Investment Agreement (the “Agreement”), dated as of July 1, 2021 between 360 Funds, a Delaware Statutory Trust, on behalf of each of its series listed on Schedule A, severally and not jointly, (each, an “Acquiring Fund”), and Unified Series Trust, a business trust organized under the laws of the State of Ohio (the Acquired Trust”), on behalf of each of its series listed on Schedule B and such additional series as shall be designated in the future (each, an “Acquired Fund” and together with the Acquiring Fund, the “Funds”).
