THIS OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the "Agreement") is effective as of the 16th day of December, 2020, as revised February 25, 2022 by and between NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the "Trust"), on behalf of Navigator Tactical U.S. Allocation Fund and Navigator Tactical Investment Grade Bond Fund (the "Fund") a series of the Trust, and the Advisor of the Fund, Clark Capital Management Group, Inc. (the "Advisor").
