This INVESTMENT SUB-ADVISORY AGREEMENT (“Agreement”), effective as of [________], 2022, is by and among Broadmark Asset Management, LLC (the “Sub-Advisor”), Ultimus Managers Trust (the “Trust”), on behalf of the Westwood Broadmark Tactical Growth Fund, a series of the Trust (the “Fund”), and Westwood Management Corp. (the “Advisor”).

This Investment Advisory Agreement (the “Agreement”) is made and entered into effective as of [________], 2022, by and between Ultimus Managers Trust, an Ohio business trust (the “Trust”) on behalf of each series of the Trust set forth on Schedule A attached hereto (individually each a “Fund” and collectively the “Funds”), a series of shares of the Trust, and Westwood Management Corp., a New York corporation (the “Adviser”).

Ultimus shall be entitled to receive an annual fee of up to plus, for any funds with “C Class” equivalents, up to ½ basis point or 0.0050% per annum on each Fund’s average daily net assets, paid in monthly installments, from each Fund listed under “Class C Shares” on Schedule A and/or from the investment adviser(s) to such Fund.
