THIS AMENDED AND RESTATED CONSULTING AGREEMENT (this “Agreement”) dated October 28, 2021 (the “Effective Date”), amended and restated December 10, 2021, is entered into by and between CRM Mutual Fund Trust, a Delaware statutory trust having its office and principal place of business at c/o Cramer Rosenthal McGlynn, LLC, 28 Havemeyer Place, Greenwich, CT 06830 (the “Trust”), and NORTHERN LIGHTS COMPLIANCE SERVICES, LLC, a Nebraska limited liability company having its office and principal place of business at 4221 North 203rd Street, Suite 100, Elkhorn, Nebraska 68022 (“NLCS”).
