THIS AGREEMENT is made and entered into as of November 21, 2024 by and between EMC Capital Advisors, LLC (the “Subadviser”), an Illinois limited liability company registered under the Investment Advisers Act of 1940, as amended (the “Advisers Act”), and Dearborn Capital Management, LLC, a limited liability company organized under the laws of Illinois (the “Adviser”) and also registered under the Advisers Act, with respect to the Grant Park Dynamic Allocation Fund (the “Fund”), a series of the NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”).

THIS OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the “Agreement”) is effective as of the 12th day of November 2024, by and between NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”), on behalf of Grant Park Dynamic Allocation Fund (the “Fund”) a series of the Trust, and the advisor of the Fund, Dearborn Capital Management, LLC (the “Advisor”).
