This letter agreement and release (the "Agreement") confirms the agreement entered into between you and your Employer regarding the termination of your employment effective March 31, 2019 ("Termination Date") and explains the package of separation pay and benefits that has been specially developed for you in consideration of a fully bargained for release and settlement of any and all claims that you have presently, may have or have had in the past arising from your employment with and termination of your employment from the Employer up to and including the date you execute this Agreement. You acknowledge that from and after March 12, 2019, you ceased to be Chief Financial Officer of the Employer and will no longer be an "officer" of the Employer as that term is defined in Rule 16a-1(f), or an "executive officer" as that term is defined in Rule 3b-7, in each case as such rules are promulgated under the Securities Exchange Act of 1934, as amended.
