This Third Amended and Restated Employment Agreement (“Agreement”) is made and entered into as of November 24, 2020 (the “Amendment Effective Date”) by and between Enviva Management Company, LLC, a Delaware limited liability company (the “Company”), and Thomas Meth (“Executive”) and supersedes and replaces in its entirety the Second Amended and Restated Employment Agreement (the “Prior Agreement”) dated December 23, 2019 by and between the Company and Executive.

In recognition of your contributions to Enviva Partners, LP (“Partners”), including the equity financing activities described in Partners’ press release dated June 18, 2020, we are pleased to provide you with a transaction bonus (the “Transaction Bonus”). This letter agreement (this “Letter”) sets forth the amount of the Transaction Bonus and the terms and conditions upon which you will be eligible to retain the Transaction Bonus.
