THIS AGREEMENT is made as of October 14, 2024, between EA Series Trust, a Delaware statutory trust (the “Trust”), and ALPS Distributors, Inc., a Colorado corporation (“ALPS”). Cambria Investment Management, L.P. (“Cambria”), the investment sub-adviser to the Funds, as defined below, is a party to this Agreement solely for the purposes of Section 6.
