This Sublicense Agreement (the “Agreement”) is made as of June 13, 2017, by and between Security Investors, LLC, a limited liability company with offices at 330 Madison Avenue, New York, New York, 10017 (“Security Investors”) and Rydex ETF Trust, a Delaware statutory trust, with offices at 805 King Farm Boulevard, Rockville, Maryland 20850 (the “Trust” and together with Security Investors, the “Parties”).

Schedule A to the Advisory Agreement between Rydex ETF Trust (the “Trust”) and Security Investors, LLC (the “Adviser”) dated March 1, 2012, as amended to date (the “Agreement”), is hereby amended to reflect the addition of the Guggenheim Multi-Factor Large Cap ETF, a newly created series of the Trust, and shall be effective and replace the current Schedule A to the Agreement in full upon the commencement of operations of the Guggenheim Multi-Factor Large Cap ETF. This revised Schedule A is incorporated into and made a part of the Agreement.
