This NOTE PURCHASE AGREEMENT (the “Agreement”), dated as of October 12, 2020, is by and among Workhorse Group Inc., a Nevada corporation with offices located at 100 Commerce Drive, Loveland, Ohio 45140 (the “Company”), each subsidiary of the Company (a “Subsidiary” and collectively, the “Subsidiaries”), as guarantors (the “Guarantors”), and each of the investors listed on Schedule I attached hereto (individually, a “Buyer” and collectively, the “Buyers”).
