This AMENDMENT NO. 1 TO COMMON TERMS AGREEMENT (this “Amendment”), dated as of November 2, 2023, amends that certain Common Terms Agreement, dated as of July 12, 2023 (as amended, amended and restated, supplemented or otherwise modified prior to the date hereof, the “Existing Common Terms Agreement” and, as it may be further amended, amended and restated, supplemented or otherwise modified from time to time, the “CommonTerms Agreement”) by and among RIO GRANDE LNG, LLC, a limited liability company formed under the laws of the State of Texas (the “Borrower”), the Senior Secured Debt Holder Representatives party thereto from time to time, and MUFG BANK, LTD., in its capacity as the P1 Intercreditor Agent (the “P1 Intercreditor Agent”).
